Interim effective date: September 8, 2026 Provider: RYSO CORPORATION, a Florida company ("RYSO," "we," "us," or "our") Address: 15241 NW 88th Ave, Miami Lakes, FL 33018 Contact: info@rysohealth.com

These Website and B2B Sales Terms (“Terms”) govern access to RYSO’s website, professional portals, ordering tools, and related services (collectively, the “Services”), and business purchases accepted by RYSO. By creating an account, clicking to accept, submitting an order, or using the Services, you agree to these Terms on behalf of yourself and the organization you represent.

1. Business and Professional Use

The Services are offered for legitimate business use by authorized representatives of healthcare practices, facilities, professional organizations, and other customers approved by RYSO. They are not a consumer storefront.

You represent that you are at least 18 years old, have authority to bind the organization you identify, and will use the Services only for lawful professional or business purposes. RYSO may request reasonable information to verify identity, professional credentials, business authority, or eligibility for restricted products or features.

2. Accounts and Security

You must provide accurate and current information, maintain the confidentiality of credentials, restrict access to authorized users, and promptly notify RYSO of suspected unauthorized access. Your organization is responsible for activity conducted through its accounts unless caused by RYSO’s failure to use reasonable security measures.

RYSO may suspend or restrict an account to investigate fraud, security incidents, credential concerns, payment risk, suspected unlawful activity, or material violations of these Terms.

3. No Patient Information; No Medical Advice

Do not enter patient names, diagnoses, treatment records, insurance information, or other protected health information (“PHI”) into the Services. RYSO does not agree to act as a HIPAA business associate unless it signs a separate written Business Associate Agreement before receiving PHI.

The Services, product listings, and business communications do not provide medical advice, establish a clinician-patient relationship, prescribe treatment, or replace professional judgment. Healthcare professionals remain solely responsible for patient evaluation, diagnosis, informed consent, prescribing, administration, monitoring, recordkeeping, and compliance with applicable professional standards.

4. Product Information and Authorized Use

Public pages display only active product names and descriptions expressly approved by RYSO. Prices, account pricing, availability, quantities, inventory locations, and inventory status are confidential account information and are not publicly displayed.

Product descriptions are for business identification and ordering. Unless RYSO expressly states otherwise in writing, they are not representations that a product is suitable for a particular patient, indication, outcome, or use. Purchasers must review applicable labeling, manufacturer information, instructions, warnings, storage requirements, and legal restrictions before ordering or use.

You may not make, reproduce, or attribute to RYSO any health, efficacy, safety, disease-treatment, anti-aging, or other product claim that RYSO has not expressly approved in writing and that is not supported as required by law.

5. Orders and Acceptance

An order is an offer to purchase and is not binding on RYSO until RYSO accepts it through written confirmation, fulfillment, or another clear acceptance. RYSO may reject, limit, or cancel an order before acceptance because of eligibility, product restrictions, errors, suspected fraud, availability, payment issues, legal requirements, or other legitimate business reasons.

If RYSO discovers a material pricing, description, or availability error, it may cancel the affected unfulfilled item and issue any refund due. RYSO will not substitute a materially different product without authorization.

6. Prices, Taxes, and Payment

Account-specific prices are shown only to authorized users or provided in a written quotation. Unless expressly stated otherwise, prices exclude taxes, shipping, insurance, duties, and similar charges. The purchaser is responsible for applicable charges other than taxes imposed directly on RYSO’s net income.

Payment is due according to the checkout confirmation, invoice, or separately signed agreement. RYSO may use a third-party payment processor. The purchaser authorizes RYSO and its processor to charge the selected payment method for accepted orders and disclosed charges. Chargebacks must not be used to avoid the agreed dispute process for a legitimate fulfilled order.

7. Shipping, Delivery, Title, and Risk — Proposed Policy Requiring Owner Approval

Any shipment or delivery date is an estimate unless RYSO expressly guarantees it in a signed writing. RYSO is not responsible for delay caused by a carrier, manufacturer, shortage, weather, government action, force majeure, or another event beyond RYSO’s reasonable control.

For shipments arranged by RYSO, title and risk of loss pass to the purchaser upon confirmed delivery to the stated destination, except to the extent mandatory law or a signed agreement provides otherwise. The purchaser must ensure that an authorized person can receive, inspect, and properly store the shipment.

Visible loss, damage, or shipment discrepancy should be reported to RYSO at info@rysohealth.com within five business days after delivery, with reasonable documentation. Failure to report within that period does not waive rights that cannot lawfully be waived, but may limit RYSO’s ability to pursue a carrier claim.

8. Returns, Refunds, and Credits — Proposed Policy Requiring Owner Approval

Because product integrity, chain of custody, storage, and regulatory status may be material, products are not returnable unless RYSO provides prior written return authorization or applicable law requires a return or refund.

If RYSO ships an incorrect item, or an item arrives damaged or materially nonconforming, the purchaser should notify RYSO within five business days after delivery. After verification, RYSO may replace the item, issue a credit, or refund the affected purchase price. RYSO may require photographs, lot information, carrier documentation, or return of the item under provided instructions.

Unauthorized returns may be refused. Shipping, handling, special-order, temperature-control, and third-party charges are nonrefundable unless the problem was caused by RYSO or mandatory law requires otherwise. No product may be returned if return would create a safety, integrity, legal, or regulatory concern.

A separate signed quotation, purchase agreement, or product-specific policy controls if it expressly conflicts with this section.

9. Customer Compliance Responsibilities

The purchaser is responsible for:

  • maintaining all licenses, registrations, permits, and professional authority required for purchase, possession, storage, resale, recommendation, prescribing, administration, or use;
  • determining whether a product and proposed use are lawful and appropriate;
  • complying with labeling, storage, handling, tracking, recall, adverse-event, and disposal requirements;
  • limiting account access and product access to authorized personnel;
  • not reselling or transferring products through unauthorized channels; and
  • complying with federal, state, and local healthcare, pharmacy, advertising, consumer-protection, tax, trade, sanctions, and professional-practice laws that apply to the purchaser.

RYSO may request compliance documentation or suspend an order when reasonably necessary to satisfy a legal or safety obligation.

10. Intellectual Property and Acceptable Use

RYSO and its licensors retain all rights in the Services, software, branding, content, and documentation, except for rights expressly granted in writing. Subject to these Terms, RYSO grants authorized users a limited, revocable, nonexclusive, nontransferable right to use the Services for internal business purposes.

You may not interfere with security, access another customer’s information, scrape protected account data, reverse engineer except where law prohibits restriction, introduce malicious code, use the Services unlawfully, misrepresent affiliation with RYSO, or copy RYSO branding or content for unauthorized promotion.

11. Third-Party Services

The Services may interoperate with payment, hosting, authentication, communications, carrier, or other third-party services. Third-party terms and privacy notices govern their independent services. RYSO is not responsible for a third party’s independent acts, but this does not limit responsibility that applicable law places on RYSO.

12. Confidentiality

Nonpublic prices, account terms, inventory information, customer information, credentials, business records, and technical information made available through the Services are confidential. Each party will use the other party’s confidential information only for the applicable business relationship and protect it using reasonable care. This section does not cover information that is public through no breach, independently developed, lawfully received without restriction, or required to be disclosed by law after legally permitted notice.

13. Disclaimer of Warranties — Counsel Review Required

Except for an express written product warranty or a warranty that cannot lawfully be disclaimed, the Services and products are provided “as is” and “as available.” To the fullest extent permitted by law, RYSO disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. RYSO does not warrant a clinical result, uninterrupted service, or that the Services will meet every purchaser requirement.

Nothing in these Terms limits a manufacturer warranty that expressly applies to the purchaser or excludes a warranty that applicable law does not permit RYSO to exclude.

14. Limitation of Liability — Counsel Review Required

To the fullest extent permitted by law, neither party will be liable under these Terms for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenues, or data, arising from the Services or an order, even if advised that such damages were possible.

To the fullest extent permitted by law, RYSO’s aggregate liability arising from an affected order will not exceed the amount paid to RYSO for that order; liability arising from the Services generally will not exceed the amounts paid to RYSO by the customer during the twelve months preceding the event giving rise to the claim.

These limitations do not apply to fraud, willful misconduct, confidentiality violations, intellectual-property misuse, payment obligations, indemnification obligations, or liability that cannot lawfully be limited.

15. Indemnification — Counsel Review Required

The purchaser will defend, indemnify, and hold harmless RYSO and its personnel from third-party claims, damages, and reasonable costs arising from the purchaser’s unlawful conduct, unauthorized product claims, mishandling, off-label promotion attributed to RYSO without authorization, credential misrepresentation, breach of confidentiality, or violation of Section 9, except to the extent caused by RYSO’s negligence, willful misconduct, or breach of these Terms.

16. Suspension and Termination

Either party may stop using the Services. RYSO may suspend or terminate access for material breach, security risk, nonpayment, loss of required credentials, suspected unlawful activity, or discontinuation of the Services. Termination does not cancel accepted payment obligations or provisions that by their nature should survive, including confidentiality, intellectual property, disclaimers, liability limitations, indemnification, dispute terms, and recordkeeping.

17. Governing Law and Venue — Proposed Policy Requiring Owner Approval

These Terms and disputes arising from them are governed by Florida law, without regard to conflict-of-law rules. The state courts located in Miami-Dade County, Florida, and the United States District Court for the Southern District of Florida will have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.

Before filing a lawsuit, a party should provide written notice describing the dispute and allow thirty days for good-faith business resolution, except when immediate injunctive relief or a limitations deadline makes delay impracticable. This draft does not require arbitration or waive a jury trial.

18. Changes

RYSO may update these Terms prospectively. Material changes will be identified by an updated effective date and communicated when required. Changes do not retroactively alter an accepted order unless the parties agree in writing.

19. Order of Precedence

A separately signed agreement, accepted quotation, business associate agreement, or product-specific written term controls over these Terms only to the extent of an express conflict. Purchase-order boilerplate does not modify these Terms unless RYSO signs it.

20. General

Neither party may assign these Terms without the other party’s consent, except in connection with a merger, reorganization, or transfer of substantially all relevant assets. Neither party is liable for delay caused by events beyond reasonable control, except for payment obligations. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. These Terms and incorporated written documents are the entire agreement concerning their subject.

21. Contact and Notices

Legal or contractual notices to RYSO should be sent to:
